By accessing or using Migrify Legal ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

2. Description of Service

Migrify Legal is an AI-powered software platform that generates legal document templates. Our Service includes:

• AI-powered document generation for various legal document types (NDAs, Service Agreements, Employment Contracts, etc.)
• Contract review and risk analysis tools
• State-specific clause suggestions
• Document management and storage
• E-signature integration capabilities
• Optional lawyer verification services (when explicitly requested and available)

Our Service is a software tool only. We do not provide legal services, legal advice, or attorney-client relationships unless you explicitly request and we provide lawyer verification services through a separate agreement.

3. No Attorney-Client Relationship

IMPORTANT: Using our Service does not create an attorney-client relationship between you and Migrify Legal or any of our employees, contractors, or partners.

We are not your attorney. We do not represent you in any legal matter. We do not provide legal advice, legal opinions, or legal representation.

If you require legal advice or representation, you should consult with a licensed attorney in your jurisdiction. We may provide options to connect you with licensed attorneys for document review, but such connections are separate from our Service and subject to separate agreements.

4. Lawyer Verification Services

We may offer optional lawyer verification services where licensed attorneys review documents generated by our Service. These services:

• Are provided only when explicitly requested by you
• Are subject to separate terms and fees
• May create an attorney-client relationship between you and the reviewing attorney (not with Migrify Legal)
• Are provided by independent, licensed attorneys who are not employees of Migrify Legal
• May not be available in all jurisdictions

If you use lawyer verification services, you will enter into a separate agreement with the reviewing attorney, and Migrify Legal acts only as a platform connecting you with legal professionals.

5. Limitations of Service

You acknowledge and agree that:

• Documents are templates only: Documents generated by our Service are templates and may not be suitable for your specific legal needs or situation.
• No guarantee of legal validity: We do not guarantee that documents generated by our Service are legally valid, enforceable, or appropriate for your jurisdiction or situation.
• AI limitations: Our AI may make errors, omissions, or generate content that is incomplete, inaccurate, or inappropriate for your needs.
• State-specific limitations: While we attempt to include state-specific clauses, laws vary by jurisdiction and change frequently. Documents may not reflect the most current laws.
• No legal advice: Our Service does not provide legal advice, legal opinions, or recommendations about your specific legal situation.
• User responsibility: You are solely responsible for reviewing, customizing, and using any documents generated by our Service.

6. Limitation of Liability

• Your use or inability to use our Service
• Any documents generated by our Service
• Any errors, omissions, or inaccuracies in documents generated by our Service
• Any legal consequences, disputes, or losses arising from your use of documents generated by our Service
• Any unauthorized access to or use of our servers or your data
• Any interruption or cessation of transmission to or from our Service
• Any bugs, viruses, or other harmful code that may be transmitted through our Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF OUR SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless Migrify Legal, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of our Service
• Your use of any documents generated by our Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any legal consequences, disputes, or losses arising from documents you create using our Service

8. User Accounts and Responsibilities

8.1 Account Creation

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

8.2 Prohibited Uses

You agree not to:

• Use our Service for any illegal purpose or in violation of any laws
• Use our Service to generate documents for unauthorized practice of law
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt our Service or servers
• Attempt to gain unauthorized access to our Service or other accounts
• Use automated systems (bots, scrapers) to access our Service without permission
• Reverse engineer, decompile, or disassemble our Service
• Resell or redistribute our Service without authorization

9. Subscription and Payment

9.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Subscription fees are billed in advance on a monthly or annual basis, as selected by you.

9.2 Payment Terms

• You agree to pay all fees associated with your subscription
• Fees are non-refundable except as required by law or as stated in our refund policy
• We may change our pricing with 30 days' notice
• If payment fails, we may suspend or terminate your account

All content, features, and functionality of our Service, including but not limited to text, graphics, logos, software, and AI models, are owned by Migrify Legal or its licensors and are protected by copyright, trademark, and other intellectual property laws.

10.2 Your Documents

You retain ownership of documents you create using our Service. However, by using our Service, you grant us a license to:

• Store and process your documents to provide the Service
• Use anonymized, aggregated data to improve our AI models and Service
• Comply with legal obligations

We do not claim ownership of your documents, and we will not use your documents for purposes other than providing and improving our Service.

11. Connecting with Lawyers

We may provide features that allow you to connect with licensed attorneys for document review or legal advice. When you use these features:

• You will enter into a separate agreement with the attorney
• Migrify Legal acts only as a platform connecting you with legal professionals
• We are not responsible for the services provided by attorneys
• Any attorney-client relationship is between you and the attorney, not with Migrify Legal
• We may receive a referral fee or commission from attorneys, which does not affect the cost to you

We strongly recommend that you consult with a licensed attorney before using any document generated by our Service for important legal matters.

12. Termination

We may terminate or suspend your account and access to our Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• At our sole discretion

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, subject to our data retention policies.
